Welcome to Luimoto. These Terms of Service ("Terms") govern your access to and use of the Luimoto website, including luimoto.com, and your purchase and use of products and services offered through the website.

By accessing our website, creating an account, placing an order, or purchasing or using our products or services, you agree to these Terms. If you do not agree with these Terms, please do not use our website or purchase our products.

You may use our website only for lawful purposes and in accordance with these Terms.

use the website for any unlawful purpose;
interfere with or disrupt the operation or security of the website;
attempt to gain unauthorized access to our systems, accounts, or networks;

We reserve the right to suspend or terminate access to our website where we reasonably believe these Terms have been violated or where necessary to protect our website, business, customers, or other users.
2. INTELLECTUAL PROPERTY
Unless otherwise stated, all content appearing on this website is owned by or licensed to 8 One Studio Inc. and Luimoto.
This includes, without limitation:
Luimoto trademarks and logos;
product names and designs;
photographs and images;
videos;
graphics and illustrations;
written content;
product descriptions;
installation instructions;
technical information;
website layouts and designs;
product and website data;
software and code;
downloadable materials; and
the selection, arrangement, and presentation of the foregoing.
Certain photographs, artwork, trademarks, or other materials may belong to third parties and are used with permission or under licence.
Nothing in these Terms grants you ownership of our intellectual property.
You may view and use website content for your personal, non-commercial purposes. You may not reproduce, modify, distribute, publish, display, transmit, sell, license, or commercially exploit our content without our prior written permission.
All rights not expressly granted are reserved by Luimoto and 8 One Studio Inc.
3. TRADEMARKS
Luimoto and Luimoto logos, product names, designs, and other marks associated with Luimoto are trademarks or trade names of 8 One Studio Inc. or their respective owners.
You may not use our trademarks or branding in a manner that suggests sponsorship, endorsement, affiliation, or authorization without our prior written permission.
4. PRODUCT INFORMATION AND FITMENT
We make reasonable efforts to ensure that product descriptions, photographs, specifications, compatibility information, dimensions, colours, and other information on our website are accurate and current.
However, product photographs and colours may appear differently depending on your monitor, device, lighting, or photographic conditions.
Motorcycle models may vary by year, market, trim level, factory configuration, and aftermarket modification.
You are responsible for confirming that the product you order is appropriate for your motorcycle and intended application before placing an order.
Where we provide fitment information, that information is based on the motorcycle specifications and information available to us. If you are uncertain whether a product will fit your motorcycle, please contact us before ordering.
Luimoto is not responsible for fitment issues caused by:
incorrect motorcycle information supplied by the customer;
model-year or regional variations;
aftermarket modifications;
previously modified seats or components;
non-OEM parts;
incorrect installation; or
failure to follow Luimoto's installation instructions.
5. MOTORCYCLE PRODUCTS AND INHERENT RISKS
Motorcycling is an inherently dangerous activity that may result in serious injury, disability, death, property damage, or other loss.
Luimoto products are aftermarket motorcycle accessories and are not intended to eliminate or guarantee protection against the inherent risks associated with operating a motorcycle.
The customer is responsible for determining whether a product is suitable for their motorcycle, riding style, intended use, and applicable laws.
You should always follow applicable laws, motorcycle manufacturer instructions, Luimoto installation instructions, and appropriate motorcycle safety practices.
You should wear appropriate protective equipment and ensure that your motorcycle is maintained and operated safely.
You acknowledge that motorcycle use involves risks that cannot be eliminated entirely through the use of aftermarket products.
6. PRODUCT INSTALLATION AND MODIFICATION
Some Luimoto products require installation, removal of existing components, cutting or modifying motorcycle seat foam, removal of an OEM seat cover, use of adhesives, use of staples or other fasteners, or other installation procedures.
Installation should be performed carefully and in accordance with Luimoto's instructions.
Where appropriate, Luimoto recommends professional installation.
You are responsible for determining whether you have the appropriate tools, skills, experience, and workspace to install a product safely.
Luimoto is not responsible for damage resulting from:
improper installation;
failure to follow installation instructions;
use of inappropriate tools or materials;
excessive force;
incorrect placement;
installation on a modified or damaged component;
installation performed by an unqualified person;
alteration of a Luimoto product; or
alteration of the motorcycle or component on which the product is installed.
If you are uncertain about installation, please contact Luimoto before proceeding.
7. CUSTOM PRODUCTS
Certain Luimoto products may be customized according to customer-selected colours, materials, stitching, embroidery, patterns, specifications, or other options.
Custom products may not be eligible for return or cancellation except where required by applicable law or where otherwise expressly agreed by Luimoto.
Before production begins, Luimoto may require confirmation or approval of certain custom specifications.
Once production has begun, changes or cancellations may not be possible.
Luimoto is not responsible for customer errors in information, measurements, specifications, artwork, text, colours, model information, or other details supplied or approved by the customer.
Where Luimoto identifies an obvious error or issue in a custom order, we may contact the customer before production.
Any deposits or payments made toward custom products are subject to the applicable terms communicated to the customer at the time of the order.
8. ORDERS AND ACCEPTANCE
Placing an order through our website constitutes an offer to purchase the selected products.
Your receipt of an order confirmation does not necessarily mean that Luimoto has accepted the order or that the order will be fulfilled.
We reserve the right to:
accept or decline an order;
limit quantities;
correct pricing or product information errors;
cancel an order;
refuse an order;
discontinue a product;
restrict sales to particular persons, geographic areas, or jurisdictions; or
cancel an order where we reasonably believe that fraud, abuse, unauthorized resale, or other prohibited activity may be involved.
If we cancel an order after payment has been processed, we will refund the amount paid for the cancelled portion of the order, subject to applicable law.
9. PRICING AND PRODUCT INFORMATION ERRORS
We make reasonable efforts to maintain accurate pricing and product information.
However, errors may occasionally occur, including typographical errors, technical errors, pricing errors, currency conversion errors, or incorrect product information.
If we discover a material error affecting an order, we may contact you to correct the error or cancel the affected order.
If an order is cancelled because of a pricing or product information error, any payment received for the cancelled order will be refunded.
10. PAYMENT
We accept payment methods displayed at checkout.
By submitting payment information, you represent that you are authorized to use the payment method.
We may use third-party payment processors to process transactions. Payment information may be handled by those providers in accordance with their own terms and privacy policies.
11. SHIPPING AND DELIVERY
Shipping estimates displayed on our website are estimates only and are not guaranteed delivery dates unless expressly stated otherwise.
Delivery may be delayed by circumstances outside our control, including:
carrier delays;
weather;
customs processing;
border closures;
labour disruptions;
government actions;
tariffs or duties;
transportation disruptions;
incorrect addresses;
remote delivery conditions; or
other events beyond our reasonable control.
Once a shipment has been transferred to the carrier, Luimoto is not responsible for carrier delays that are outside our control.
You are responsible for providing an accurate shipping address.
Additional charges resulting from an incorrect address, refused delivery, or customer-requested rerouting may be charged to the customer where permitted by applicable law.
12. TAXES, DUTIES, TARIFFS AND CUSTOMS
Luimoto is located in Canada and orders are shipped directly from Canada.
For orders shipped within Canada, applicable taxes will be collected at checkout as required by Canadian law.
For orders shipped outside Canada, Luimoto generally does not collect the destination country's applicable taxes, duties, tariffs, import fees, brokerage fees, or other government-imposed charges unless expressly stated otherwise at checkout.
Orders shipped outside Canada may be subject to taxes, customs duties, tariffs, brokerage fees, or other charges imposed by the destination country.
These charges are the responsibility of the customer or importer unless expressly stated otherwise.
Luimoto does not control the amount of taxes, duties, tariffs, import fees, brokerage charges, or other government-imposed fees.
Customs requirements vary between countries and may change without notice.
The customer is responsible for complying with applicable import requirements in the destination country.
Luimoto is not responsible for delays, additional costs, seizure, refusal of entry, or other consequences resulting from customs requirements or government action.
13. RETURNS AND EXCHANGES
Returns and exchanges are governed by Luimoto's current Returns & Exchanges Policy.
The applicable Returns & Exchanges Policy is available through the Luimoto Help Center and forms part of these Terms.
Nothing in our Returns & Exchanges Policy is intended to remove or restrict rights that cannot legally be excluded under applicable consumer-protection legislation.
14. PRODUCT WARRANTY
Certain Luimoto products may be covered by a limited product warranty or guarantee.
Warranty coverage, duration, exclusions, and procedures are governed by Luimoto's applicable warranty policy, which is available through the Luimoto Help Center.
Unless otherwise expressly stated, warranties do not cover damage resulting from:
misuse;
abuse;
accidents;
improper installation;
improper maintenance;
modification;
unauthorized repair;
normal wear and tear;
exposure to conditions outside the intended use of the product;
use of incompatible components;
neglect; or
failure to follow instructions.
Nothing in these Terms excludes or limits a statutory warranty, condition, guarantee, or consumer right that cannot legally be excluded or limited.
15. PRODUCT DEFECTS AND INSTALLATION ISSUES
If you believe a Luimoto product is defective, damaged, incorrectly manufactured, or otherwise does not conform to the applicable product description or warranty, please contact us before modifying, repairing, installing, or disposing of the product where reasonably possible.
We may request photographs, videos, measurements, order information, installation details, or return of the product so that we can evaluate the issue.
Where a product is determined to be defective and a remedy is required under applicable law or our warranty, Luimoto may provide an appropriate remedy, which may include repair, replacement, refund, credit, or another remedy as required by law or our applicable policy.
16. NO GUARANTEE OF RESULTS
Luimoto products are designed for their stated purposes, but individual results may vary.
Unless expressly stated otherwise, we do not guarantee that a product will:
improve riding performance;
eliminate discomfort;
eliminate fatigue;
prevent injury;
prevent damage;
produce a particular aesthetic result;
be suitable for every rider; or
produce a particular result under every condition.
Product descriptions and marketing statements should be understood in conjunction with the intended use and specifications of the applicable product.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Luimoto and 8 One Studio Inc., together with their directors, officers, employees, contractors, agents, suppliers, service providers, and affiliates, will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use of our website, products, services, or inability to use them.
This includes, to the extent permitted by law, loss of profits, revenue, business, goodwill, opportunity, data, or other economic loss.
To the maximum extent permitted by applicable law, the total aggregate liability of Luimoto and 8 One Studio Inc. arising out of or relating to a product, order, service, or transaction will not exceed the amount actually paid by the customer for the specific product or service giving rise to the claim.
Nothing in these Terms limits or excludes liability to the extent that such limitation or exclusion is prohibited by applicable law.
18. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, our website and its content are provided on an "as available" basis.
We do not guarantee that the website will always be available, uninterrupted, secure, error-free, or free of viruses or other harmful components.
We do not guarantee that information contained on the website will always be complete, accurate, current, or error-free.
To the maximum extent permitted by applicable law, Luimoto disclaims warranties and conditions not expressly provided by us, including implied warranties and conditions relating to quality, durability, fitness for a particular purpose, merchantability, or suitability.
Nothing in this section excludes or limits any warranty, condition, guarantee, or consumer right that cannot legally be excluded or limited.
19. ASSUMPTION OF RISK
By purchasing and using motorcycle products, you acknowledge that motorcycle riding and related activities involve inherent risks.
You voluntarily assume the risks associated with motorcycle use to the extent permitted by applicable law.
This section does not limit any rights or remedies that cannot legally be waived.
20. THIRD-PARTY SERVICES AND LINKS
Our website may contain links to third-party websites, applications, services, social-media platforms, payment providers, shipping providers, or other third-party resources.
We do not control third-party services and are not responsible for their content, availability, security, policies, or practices.
Your use of third-party services may be subject to separate terms and privacy policies.

You retain ownership of intellectual property that you lawfully own and submit to us.

You represent that you have the necessary rights and permissions to provide the material and grant this licence.
We are not required to compensate you for voluntary feedback or suggestions unless we separately agree to do so in writing.
Nothing in this section prevents you from posting an honest review or otherwise exercising rights that cannot legally be restricted.
22. CUSTOMER PHOTOS AND USER CONTENT
If you voluntarily provide photographs, videos, reviews, testimonials, or other content featuring Luimoto products, you represent that you have the right to provide that content.
You grant Luimoto a worldwide, royalty-free, non-exclusive licence to reproduce, publish, display, edit, adapt, and use that content for Luimoto's marketing and promotional purposes.
Where reasonably practicable, Luimoto may identify you by the name or account name you provided with the content, but we are not required to do so unless otherwise agreed.
You may contact us if you no longer wish us to use your content, and we will consider reasonable requests to discontinue future use, subject to content already incorporated into materials that cannot reasonably be withdrawn.
23. PRIVACY
Our collection, use, and disclosure of personal information is governed by our Privacy Policy.
Our Privacy Policy forms part of these Terms where applicable.
By using our website, you acknowledge that you have reviewed our Privacy Policy.
24. MARKETING COMMUNICATIONS
If you voluntarily subscribe to Luimoto marketing communications, you may receive promotional emails, messages, or other communications from us.
You may unsubscribe from marketing communications at any time using the unsubscribe mechanism provided in the communication.
Transactional communications relating to orders, accounts, products, customer service, or other necessary business matters may still be sent where permitted by law.
Luimoto will handle commercial electronic communications in accordance with applicable law.
25. ACCOUNTS
If you create an account with Luimoto, you are responsible for maintaining the confidentiality of your account information and for activity occurring through your account, except where caused by Luimoto's own actions or failure to maintain appropriate security.
You agree to provide accurate information and to update it when necessary.
We may suspend or terminate an account where reasonably necessary to protect our business, website, customers, or other users.
26. PROHIBITED COMMERCIAL USE AND SCRAPING
Without our prior written permission, you may not use automated systems or other means to systematically extract, collect, reproduce, or commercially exploit information from the Luimoto website.
This includes scraping or harvesting:
product information;
prices;
photographs;
technical information;
fitment information;
product descriptions;
customer-facing content;
website data; or
other commercially valuable information.
This does not prohibit lawful use of publicly available information for ordinary personal use or activities that cannot legally be restricted.
27. FORCE MAJEURE
Luimoto will not be responsible for failure or delay in performing an obligation where the failure or delay results from circumstances beyond our reasonable control.
These circumstances may include, without limitation:
natural disasters;
fire;
flood;
severe weather;
war;
terrorism;
government action;
changes in laws or regulations;
tariffs or trade restrictions;
customs actions;
transportation disruptions;
labour disputes;
supplier disruptions;
shipping delays;
internet or technology failures;
power outages; or
other events beyond our reasonable control.
Where reasonably possible, we will take commercially reasonable steps to mitigate the effects of such events.
28. GOVERNMENT REGULATIONS AND PRODUCT COMPLIANCE
Products may be subject to different laws, regulations, safety requirements, vehicle standards, or restrictions depending on where they are sold or used.
The customer is responsible for determining whether the use or installation of a product complies with applicable local laws.
Luimoto does not represent that every product is legal or approved for every motorcycle, jurisdiction, competition, racing organization, road authority, or intended use.
29. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Luimoto, 8 One Studio Inc., and their directors, officers, employees, contractors, agents, suppliers, service providers, and affiliates from claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from:
your breach of these Terms;
your unlawful use of our website;
your misuse of our products;
your unauthorized modification of our products;
your improper installation of our products;
your violation of another person's rights; or
your violation of applicable law.
This obligation does not apply to the extent that a claim results from Luimoto's own negligence, wilful misconduct, or other conduct for which liability cannot legally be transferred to you.
30. TERMINATION
We may suspend or terminate your access to the website or your account where reasonably necessary, including where you violate these Terms or engage in fraudulent, abusive, unlawful, or harmful activity.
Termination does not affect rights or obligations that arose before termination or provisions that are intended to survive termination.
31. CHANGES TO THESE TERMS
We may update these Terms from time to time.
When we make changes, we will update the "Last Updated" date at the top of this page.
Unless otherwise required by law, updated Terms will apply to your continued use of the website after they are posted.
For orders already placed before updated Terms take effect, the Terms applicable to that transaction will generally be those in effect when the order was accepted, except where applicable law requires otherwise.
32. SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where legally permitted.
If it cannot be made enforceable, it will be severed from these Terms without affecting the validity of the remaining provisions.

If Luimoto does not immediately enforce a provision of these Terms, that does not mean that Luimoto has waived its right to enforce that provision in the future.
Any waiver must be made expressly and in writing by an authorized representative of Luimoto.
34. ENTIRE AGREEMENT
These Terms, together with any policies expressly incorporated into them, constitute the agreement between you and Luimoto regarding your use of the website and applicable purchases.
Additional terms may apply to particular products, services, promotions, custom orders, warranties, or other transactions.
If there is a conflict between these Terms and a specific written agreement entered into between you and Luimoto, the specific written agreement will govern to the extent of the conflict.
35. GOVERNING LAW
These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict-of-law principles.
However, if you are a consumer residing in another province, territory, state, or country, mandatory consumer-protection laws that apply to your transaction may provide you with rights that cannot legally be excluded by these Terms.
Nothing in these Terms is intended to deprive you of rights that cannot legally be waived or excluded.
36. CONSUMER RIGHTS
Nothing in these Terms is intended to exclude, restrict, or limit any statutory right, warranty, condition, remedy, or protection that cannot legally be excluded, restricted, or limited.
Where applicable consumer-protection legislation provides rights or remedies that are inconsistent with these Terms, the applicable legislation will prevail to the extent of the inconsistency.
